VITAL NETWORK SERVICES ACQUIRED FROM MAYAN NETWORKS CORPORATION BY PRIVATE INVESTORS

NAUGATUCK, Connecticut -- January 21, 2002 -- VITAL Network Services, Inc of Naugatuck, CT announced today the completion of its acquisition from Mayan Networks Corporation of San Jose, CA by a group of private investors. As a result of the acquisition, VITAL Network Services becomes an independent company for the first time in its 30 year existence.

The private investors have appointed Mr. John Koehler as the CEO and President of VITAL Network Services. Mr. Koehler was previously the CEO and President of TechForce Corporation, a Florida based networking Service Company, which went public on the NASDAQ in December, 1995 and was acquired by Equant, Inc in 1999. Mr. Koehler brings with him a proven track record of service company leadership. Mr. Koehler stated "I am extremely pleased to lead a global service company with the breadth of networking expertise to support and grow its customer base while maintaining the highest standards of service quality.
